Please read the following important Terms and Conditions before you buy anything from Panini UK Limited.
In this contract:
We, us or our means Panini UK Limited, a company registered in England and Wales under Company Number: 06676716 and VAT Number: 939802980, whose trading address is at: 77 Mount Ephriam, Tunbridge Wells, Kent TN4 8BS.
You means you or the person using our site at www.panini-clickdistribution.co.uk to buy goods from us.

1. Introduction
1.1. If you buy goods from us, you agree to be legally bound by these terms and conditions. All orders accepted by us are subject to these terms and conditions to the exclusion of your own terms.
1.2. You may only buy goods from us if you are a trader who registers with us to purchase goods from us or online through our website.
1.3. No variation to these terms will be accepted by us unless we otherwise agree in writing.
1.4. Any failure by us to enforce these terms shall not be deemed to be a waiver on any of the terms and conditions set out in this contract or the right to enforce any terms at any time in future.
1.5. When buying any goods you also agree to be legally bound by our Privacy Policy which is available on our site which you may access by clicking on this link (https://www.clickdistribution.co.uk/privacy-policy/) and any specific terms set out in the invoice or delivery note which we send to you after you have placed an order with us via our website.
All these documents form part of these terms and conditions of trading as though set out in full here.
2. Ordering goods from us
2.1. If you wish to buy any goods from us you must register with us before you place any order. If we accept your application, we will open an online account which you can use if you wish to order products from us.
2.2. When you place your order at the end of the online checkout process (eg when you click on the Sagepay button) we will acknowledge your order by email. Your order will only be deemed to be accepted by us once we send to you an invoice and delivery note.
2.3. The minimum value of goods ordered must be at least: £250 plus VAT within mainland UK or £350 plus VAT (where applicable) outside of mainland UK - delivery charges may apply.
2.4. The price of the goods shall be the price displayed on our website plus any applicable VAT. All prices shown exclude VAT.
2.5. If the price displayed on our website is incorrect we reserve the right to correct the error and to refuse delivery of any item ordered at the incorrect price.
2.6. We may decline your order if:
(a) the goods are unavailable
(b) we cannot authorise your payment
(c) you are not allowed to buy the goods from us
(d) we are not allowed to sell the goods to you
(e) you have ordered below the minimum order threshold; or
(f) there has been a mistake on the pricing or description of the goods
2.6.2. When we accept your order a legally binding contract will be in place between you and us, and we will dispatch the goods to you.
3. Delivery
3.1. We use DPD to deliver our goods and may use any other alternative carrier from time to time. If you would like to hear about our alternative delivery options, please call: 0330 123 2559.
3.2. Unless you have paid for special delivery we will endeavour to deliver all UK mainland orders placed before 4.30pm UK time the next working day and all ROI and NI orders within 48 hours.
3.3. If something happens which:
3.3.1. is outside of our control, and
3.3.2. affects the estimated date of delivery
we will let you have a revised estimated date for delivery of the goods.
3.4. Delivery and risk of the goods will take place at the time that the goods are delivered to the address set out in your order.
3.5. We may deliver your goods in instalments and any delay or defect in any instalment shall not entitle you to cancel any other instalment.
3.6. You must direct any queries about your order or delivery arrangements to your designated account manager.
3.7. We shall not be liable for any late delivery or where the number of goods delivered is less than the number ordered or where the incorrect goods have been delivered in error.
3.8. If you have any complaints about the goods you must contact your designated account manager within 24 hours of receipt of the goods.
4. Returns
4.1. If you wish to return a faulty or incorrect item, please contact your designated account manager on 0330 123 2559 or email us at panini@clickdistributionuk.com within 24 hours of receiving your goods. If you do not contact us within 24 hours we reserve the right not to issue a full refund.
4.2. If you have received a faulty or incorrect item, we will endeavour to replace your item within 48 hours, free of charge.
4.2.1. If the item you wish to return is no longer in stock, we will issue a full refund for the item within 48 hours.
4.3. If you are unhappy with the product or service you have received please contact us within 24 hours to discuss arranging a return.
4.3.1. If a return is agreed in this instance you are responsible for returning the goods back to us in a saleable condition at your cost.
4.3.2. The goods are your responsibility until they reach our warehouse.
4.3.3. All goods will be inspected upon return. If the goods received are not in saleable condition, we reserve the right not to issue a full refund.
4.3.4. We recommend you obtain proof of postage. Our return postage address is: Click Distribution UK Ltd, Unit 2 Monarch Courtyard, Brackmills, Northampton, NN4 7BD.
5. Payment
5.1. We will do all that we reasonably can to ensure that all of the information you give to us when paying for the goods is secure by using Sagepay which is an encrypted secure payment mechanism. However, in the absence of negligence on our part, we will not be legally responsible to you for any loss that you may suffer if a third party gains unauthorised access to any information that you give us.
5.2. Other than as otherwise set out in these terms and conditions the price of the goods is the price specified on our trade price list shown on our website.
5.3. You must pay for the goods in pounds sterling (£) (GBP) and the price includes VAT at the applicable rate and standard delivery.
5.4. If you require products to be delivered outside our standard delivery times you must pay for the additional costs for special delivery.
6. Limit on our responsibility to you
6.1. Except for any legal responsibility that we cannot exclude in law (such as for death or personal injury), we are not legally responsible for any losses caused by:
(a) failure to deliver the goods;
(b) loss of profit;
(c) loss of business reputation; or
(d) any other consequential losses.
6.2. Save for death or personal injury our maximum liability to you shall be limited to the total value of the goods which were the subject of the order which resulted in the loss.
7. Disputes
7.1. We will try to resolve any disputes with you quickly and efficiently.
7.2. If you are unhappy with:
7.2..1 the goods
7.2.2. our service to you
7.2.3. any other matter
you must contact your designated account manager.
7.3. The laws of England and Wales shall apply to this contract and in contracting with you agree to submit to the exclusive jurisdiction of the English courts.
8. Third party rights
8.1. No one other than a party to this contract has any right to enforce any term of this contract.
